In House Counsel – Securitisation and Funding

City & Capital are currently representing a rapidly growing & highly respected real estate finance lending group who have retained our services to appoint a specialist In-House Lawyer to their market leading legal team.
The arriving Lawyer will demonstrate a minimum of 3 years PQE and will have a demonstrable background in the management of funding lines, funding partners and securitisation activity pertaining to secured or real estate finance lending.
Our client is renowned for supporting property developers with access to key funds for projects, offering solutions such as bridging finance, buy to let, development exit loans, portfolio lending and commercial mortgages.
Our client operates a successful wholesale funding model and work with large and notable institutional funding lines that are looking to make their returns on the UK real estate finance market.
Reporting to the Head of Legal you will be the legals team’s resident expert in respect to funding and securitisation and will support the development of strategies and activities that supports activity, ensuring the business remains commercial, and protected.
Key Responsibilities:
Legal advice on all aspects of securitisation transactions, including structuring, documentation, and regulatory requirements.
Review and negotiate key transaction documents, such as facility agreements, security documents, servicing agreements & intercreditor agreements
Work with external advisors to negotiate HOTs on securitisation & funding deals
Manage external legal counsel in the negotiation and execution of deal documentation
Oversee entire transaction processes, ensuring that timelines and milestones are met
Ensure compliance with relevant UK regulations and frameworks.
Provide guidance on data privacy and compliance matters that may impact securitisation structures.
Handle board approvals and the signing process for securitisation transactions
Support internal stakeholders across legal, treasury, and commercial functions
Assist with general corporate governance and other legal matters as required.
Contribute to building a strong legal culture within the business.
The Ideal Individual
Qualified Solicitor in England & Wales with 3+ years post-qualification experience in securitisation, funding, structured finance, or related fields
Strong understanding of securitisation and funding structures, mortgage-backed securities, and the UK regulatory environment
Demonstrated experience in drafting/negotiating securitisation transaction documents
Strong commercial awareness and ability to provide practical legal solutions
Excellent communication, negotiation, and drafting skills
Ability to work independently and collaboratively in a fast-paced environment
Strong attention to detail and organisational skills
Proactive, adaptable, and solution-oriented approach
The ideal personality traits for this role would be proactive in their approach, quick to spot opportunities and problems, and ready to tackle them head on. You will thrive in a fast paced and growing environment and will be happy to balance managing strategic tasks with the day-to-day requirements to roll up sleeves to deliver on activity.
Further, you will be a strong mentor to Junior Lawyers and Paralegals within the team and will be expected to work closely with the Head of Legal on broader divisional and business strategy, and to effectively communicate with other business units and external partners to achieve objectives set.
On Offer:
Our client is ideally looking to pay up to c£130k as a basic salary for this role, relevant to experience. Higher offers may be considered for exceptional talent. Salary will be complemented by access to our client’s favourable bonus structure also, to enhance annual earnings.
It is also important to note that our client operates a strong and proven promote from within policy which would be very pertinent for this role. Our client has doubled the size of its operation year on year for over half a decade and therefore opportunities to propel salary and career standing forward within may be prevalent, where excellent performance is delivered.
Due to the strong progression potential and exciting nature of our clients plans, we are not expecting this role to be on the market for long.
